This document is an offer to enter into an agreement with the author or administrator of a Telegram channel who connects the channel to the Sync service.

1. General provisions
1.1. A Channel Author is a person who connects their Telegram channel to the Service and publishes trading signals in it.
1.2. Acceptance. The agreement is concluded from the moment the channel is connected to the Service (the Sync bots are added as channel administrators and the activation command is run). From that moment the Channel Author accepts these Terms, the Terms of Service and the Acceptable Use Policy.
1.3. Connecting a channel is free of charge unless the parties agree otherwise separately.
1.4. The agreement does not create an employment or agency relationship or a joint venture. The Channel Author acts independently and at their own expense.
2. What the Service does with a connected channel
2.1. The Service reads the channel's posts, automatically parses them for trading signals and:
- places control buttons under a recognised signal;
- passes the signal to channel subscribers who have enabled automatic execution;
- tracks the price and posts notifications in the channel when entry prices, targets and the stop-loss are reached;
- keeps the channel's statistics and shows them to the Author in the Author's dashboard.
2.2. The signal format, control commands and parsing rules are described in the help centre https://help.sync.trade and may be changed by the Operator with notice in the Service.
2.3. The Service does not edit the Author's posts and does not change their content.
3. Channel Author's obligations
3.1. The Channel Author warrants that:
- they hold administrator rights to the channel and the right to enter into this agreement;
- the published materials belong to them or they are entitled to publish them;
- the materials do not infringe third-party rights or the law.
3.2. The Channel Author must:
- place a risk warning in the channel: trading crypto assets involves a risk of loss, past results do not guarantee future ones, every subscriber makes decisions independently;
- state that the published materials are not individual investment advice;
- publish signals in a format supported by the Service and not mislead subscribers about entry levels, targets and the stop;
- comply with the law of the country of their location, including requirements for disseminating information about financial instruments and for advertising.
3.3. The Channel Author must not:
- promise guaranteed income, a specific return, "risk-free trading" or compensation of losses;
- publish knowingly false information about the results of their signals;
- manipulate the market, including publishing signals in order to move the price in their own interest after taking a position first (front-running), or engage in coordinated actions to that end;
- promote through the channel financial pyramids, the raising of funds for unlicensed trust management, or other schemes requiring a licence;
- present the channel as an official Sync resource or claim that Sync verifies or endorses its signals;
- use the Sync trademark and brand identity without the Operator's written permission;
- collect subscribers' personal data through the channel without a legal basis.
3.4. The Channel Author is solely responsible to subscribers for the content and results of their signals. The Operator is not a party to that relationship.
4. Statistics integrity rules
4.1. Channel statistics are generated by the Service automatically and cannot be changed manually either by the Channel Author or by the Operator.
4.2. The following rules cannot be switched off:
- a target counts only from the candle following the entry — there are no "instant targets" on a single candle;
- if within one minute the price touches both a target and the stop-loss, the stop-loss counts;
- stop-loss notifications cannot be disabled — neither by the Channel Author nor by subscribers.
4.3. Statistics are theoretical: they answer whether the price reached the stated level, not whether a specific subscriber's trade was executed. Every notification carries a corresponding disclaimer.
4.4. The Channel Author may not present Sync's theoretical statistics as subscribers' actual returns.
4.5. The Operator may publish anonymised statistics of connected channels in the Service, in the catalogue and in marketing materials.
5. Operator's rights
5.1. The Operator may, without giving reasons and without prior notice:
- refuse to connect a channel;
- disconnect a channel from the Service;
- hide a channel from the catalogue;
- restrict the posting of notifications in a channel.
5.2. Grounds include, in particular: a breach of Section 3; subscriber complaints; signs of manipulation; consistently unparseable signals; channel inactivity; requirements of the law or of the Telegram messenger.
5.3. Disconnecting a channel stops the delivery of its signals to subscribers. Trades already opened by subscribers continue to be managed by the Service according to their own settings.
6. Rights to content
6.1. Rights to the posts remain with the Channel Author.
6.2. The Channel Author grants the Operator a royalty-free right to use the texts of the channel's posts to the extent necessary for the Service to operate: parsing, delivery to subscribers, display in interfaces, storage and generation of statistics — for the period the channel is connected and for the statistics retention period.
6.3. The Operator may use the channel's name and logo to identify it in the Service's interfaces and in the catalogue.
7. Personal data
7.1. The Operator processes the Channel Author's personal data to the extent and on the grounds described in Section 4.5 of the Privacy Policy.
7.2. The Operator does not pass subscribers' personal data to the Channel Author: their names, contacts, trade sizes or results. The Channel Author sees only anonymised channel information.
7.3. A Channel Author who collects subscribers' personal data themselves (forms, questionnaires, contact collection) acts as an independent controller of that data and is responsible for complying with the law.
8. Liability
8.1. The Operator provides the channel connection functions "as is" and does not guarantee uninterrupted operation, error-free recognition of every signal, or any number of subscribers.
8.2. The Operator is not liable for the Channel Author's lost profit, for subscriber churn or for the results of the Author's signals.
8.3. The Channel Author shall compensate the Operator for documented losses, fines and expenses arising from the Author's breach of these Terms, and for third-party claims related to the content of the Author's posts.
8.4. The Operator's aggregate liability to the Channel Author is limited to the amount actually paid by the Channel Author to the Operator for the three months preceding the event; where the connection is free of charge, the Operator's liability is excluded.
9. Changes and termination
9.1. The Operator may amend these Terms by publishing a new revision at https://sync.trade/legal/en/channel. The Operator gives at least 10 calendar days' notice of material changes.
9.2. The Channel Author may disconnect the channel at any time with the deactivation command or by removing the Sync bots from the channel administrators.
9.3. The claim procedure and dispute resolution are governed by Section 14 of the Terms of Service.
